## Summary

The agreement covering the Rebilder gateway, the Console, the Agent Readability Score, and the public surfaces built on it. It is written to be read, not to be survived.

## Who you are agreeing with

Rebilder is operated by Rebilder LLC, a company established in the United States. In these terms "Rebilder", "we" and "us" mean that entity; "you" means the person or organisation using the service. Notices to us may be sent to legal@rebilder.com.

## Accepting these terms

You accept these terms by creating a Rebilder account, installing or running the gateway, or using the scanner, the CLI, the MCP server or the badge. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.

You must be at least 18. Rebilder is a service for people who operate websites; it is not a consumer product.

## What the service is

- **The gateway** — An SDK you install in your own stack. It detects agent requests and renders your own content as agent-readable markdown. It runs on your infrastructure, under your control, and we do not operate it for you unless you have a Custom agreement that says we do.
- **The Console** — A hosted dashboard showing agent traffic recorded by your gateway install, previews of what an agent receives for a given URL, and install instructions.
- **The Agent Readability Score (ARS)** — A published, versioned, deterministic standard that grades how well a page can be retrieved and read by a software agent, plus the tools that compute it: a public scanner, a CLI, an MCP server, and a badge.
- **The public surfaces** — An opt-in public index of scores, and aggregate statistics about agent traffic. Nothing about a named third party appears on either without that domain owner opting in first.

## The gateway runs on your side

- The gateway contains no concept of a plan, licence, tier or quota, and it never will. We do not degrade, sample, throttle or meter what an agent receives from your site.
- Because it runs in your stack, you are responsible for what it serves: the source fields you wire into it are yours, and the content it renders is yours.
- We compose layout and connective copy. We never author a price, a stock level, an opening hour, an eligibility rule, a deadline, or any other substantive value. Those are injected from fields you supply, and any generated variant containing an unsourced value is discarded rather than corrected.
- The same substance is served in every format. Markdown responses are a format transformation of your canonical page, never a different price or a different claim, and search crawlers always receive your canonical HTML.
- If our code fails, your normal pipeline runs: a source that throws is treated as a no-match and a render failure passes through to HTML.

The npm packages we publish, including the gateway SDK, the ARS scorer, the CLI and the MCP server, are licensed under the Apache License 2.0, whose terms govern your use of them rather than this agreement. That licence grants no rights in our trademarks: you may build on the code without using the names "Rebilder" or "ARS" for your version. We do not commit to supporting any particular version indefinitely.

## Your account and your keys

- Keep your credentials and API keys secret. We store only a hash of an API key and show the key itself exactly once, so we cannot recover it for you. Rotate it instead.
- Activity under your key is treated as yours. Tell us at support@rebilder.com as soon as you think a key has leaked.
- Give us accurate account information and keep it current.
- You are responsible for the people you invite into your organisation.

## Scanning, and what you may scan

The scanner fetches a public URL from our servers and grades it. You may scan any URL that is publicly reachable without credentials. You may not use the scanner against pages behind a login, a paywall or an authorisation you do not hold, and you may not use it to generate load against a site.

Our fetcher identifies itself honestly on every request and obeys a robots.txt group that names it. What it fetches, how often, and how to stop it is documented at /bots. If a site tells our scanner to go away, a scan of it returns a stated non-result rather than a grade, and we never publish the refusal as a negative.

A scan result about a domain you do not control is yours to read and not ours to publish. See "Publication and removal" below.

## What the score is and is not

- ARS measures format and retrievability. It does not measure whether the facts on a page are true, and it does not measure whether any assistant cites the page.
- The full ARS ruleset, its thresholds and its conformance corpus are published, so any score we show you can be checked against the standard rather than taken on trust.
- A score is a measurement, not a certification, an endorsement, an audit, or advice. Do not present it to third parties as any of those.
- Every ARS number we show declares whether it was measured or heuristic, and the scoring path contains no model, no randomness and no clock, the same evidence bundle always produces the same number under the same ruleset version.

## Publication and removal

- Nothing about a named third party is published on a Rebilder ranking, index or badge without a verified opt-in from the domain owner.
- Nothing derived from an authenticated, merchant-supplied or locally-run scan is ever published, at all, in any form.
- Removal from anything we have published is free, self-serve and permanent, and it is never purchasable. No product, tier or negotiation changes a published entry.
- We may contact a business about its own scan results, including by email. That contact is marketing. It is never a condition of anything, and every message carries a one-click unsubscribe that we honour permanently. Unsubscribing from marketing never affects a removal request, an index entry or any service you use.
- Aggregate statistics are published only over a bucket of at least 25 independent sites, and that floor is not a setting we tune to ship a chart.

To leave the public index, use the removal control on your index entry or write to privacy@rebilder.com from the domain you are removing. An unverified removal request still triggers suppression while we check it. We would rather remove a real entry in error than leave an unwanted one up while we deliberate.

## Your data, and what we never do with it

- Your content stays yours. You grant us only the licence we need to operate the service you asked for: to serve, render, analyse and display your own content back to you.
- We do not sell your data, and we do not train models on your content.
- Your per-site data never feeds a negotiation engine, not ours, not anyone’s. Rebilder and the MUMM negotiation product are separated by a data wall enforced in the database, not by this sentence: the only figures that cross are aggregates over at least 25 independent sites, and the reading role cannot see an under-populated bucket at all.
- We never build a cross-site price or discount-depth data product. We benchmark agent readability, traffic and conversion. Never price.

How we handle personal data is set out in the Privacy Policy at /legal/privacy, and the vendors involved are listed at /legal/subprocessors.

## Plans and fees

- Free is $0 forever and includes the gateway, unmetered and unsampled. The free Console is sized as published on /pricing; exceeding that size prompts an upgrade and does not suspend, throttle, or sample your service.
- Pro is a monthly subscription priced by traffic tier, as published on /pricing. Paid plans buy analysis and depth that run on our servers, never a change to what an agent receives from your site.
- Custom is negotiated and governed by the order form we both sign; where it conflicts with these terms, the order form wins.
- Transact is a share of agent-originated GMV through a protocol checkout, available on every plan including Free.

Subscriptions renew automatically until cancelled and are billed in advance. Cancel any time from the Console; your plan runs to the end of the paid period and we do not refund part-months except where the law requires it. Fees exclude taxes, which you pay. Card payments are processed by Stripe, Inc.; we store a customer and subscription identifier and never see or hold your card details. Invoices and payment history are available from the billing portal in the Console.

We will give at least 30 days’ notice by email before a price increase takes effect on your plan.

## Acceptable use

The Acceptable Use Policy at /legal/acceptable-use is part of this agreement. Breaking it is breaking these terms.

## Availability and changes to the service

Hosted surfaces are operated for continuous availability; a contractual uptime commitment is available in Enterprise agreements. We may change or withdraw hosted features; where a change removes something you rely on, we will give reasonable notice and, for paid plans, a pro-rata refund of the unused period if you choose to leave.

The gateway is different: it runs in your stack, so nothing we do to our servers stops it serving. A version you have installed keeps working.

## Intellectual property

We keep our software, the ARS specification and ruleset, the Rebilder name and the marks. You keep everything of yours. The ARS specification and conformance corpus are published so anyone can implement and audit the standard; that publication is not a licence to use our name or badge to imply we endorse or certify a site.

Feedback you send us we may use freely, without obligation to you.

## Third-party content and complaints

The scanner fetches pages published by other people. We store capture metadata, status codes, redirect chains, header names and values, byte counts and content hashes, and not third-party page bodies or prose excerpts. If you believe something we display infringes your copyright, the notice procedure is at /legal/dmca.

## Disclaimers

Except where the law says otherwise, the service is provided as is and as available, without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that a score will rise, that an assistant will cite you, or that agent traffic will convert.

## Limitation of liability

Neither side is liable for indirect, incidental, special or consequential loss, or for lost profits or lost data, arising out of this agreement. Our total liability in any 12-month period is capped at the greater of the fees you paid us in that period and US$100. The floor matters because the Agent Gateway is free: a cap set purely at fees paid would be zero for most of the people using it. Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

## Indemnity

You will cover us against third-party claims arising from your content, your use of the service in breach of these terms, or your use of a score or badge in a way this agreement forbids.

## Suspension and termination

- You can close your account at any time from the Console.
- We can suspend or close an account that breaches the Acceptable Use Policy, that we are legally required to close, or that is being used to attack a third party, with notice where it is safe to give notice, and immediately where it is not.
- On termination we delete or return your data as described in the Privacy Policy, and accrued fees remain payable.
- Your gateway install keeps running after termination; it does not phone home for permission.

## Changes to these terms

We will post a revised version here and, for material changes, email account holders at least 14 days before it takes effect. Continuing to use Rebilder after that date means accepting the new version. If you do not accept it, close your account before the date and we will refund any unused paid period.

## Governing law and disputes

This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction over any dispute. Each side waives any objection to that venue. Talk to us first at legal@rebilder.com; most things end there.

## The rest

If a clause is unenforceable, the rest survives. Not enforcing something once does not waive it. You may not assign this agreement without our consent; we may assign it to a successor of the business. These terms, plus the policies they reference and any signed order form, are the whole agreement between us.
